Terms of Use

Last Updated: February 8, 2025

Welcome to Purpose For Profit ("PFP," "Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree, you must discontinue use of the Services immediately.

1. ACCEPTANCE OF TERMS

By accessing or using the Services, you confirm that you are at least 18 years old (or the legal age of majority in your jurisdiction) and have the legal authority to enter into these Terms. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity.

2. MODIFICATIONS TO TERMS

We reserve the right to modify or update these Terms at any time, and we will notify users of any material changes. Continued use of the Services after such modifications constitutes acceptance of the revised Terms.

3. SERVICES OVERVIEW

PFP facilitates impact-driven investments through blockchain-based lending and staking mechanisms. Our Services may include:

  • Tokenized investment opportunities in real-world assets (RWAs), including affordable housing projects.

  • Staking mechanisms that allow users to earn passive income through revenue-sharing pools.

  • Transparent, on-chain record-keeping to track investments and returns.

4. ELIGIBILITY & COMPLIANCE

4.1 Accredited Investor Status

Certain investment opportunities may only be available to accredited investors as defined by the U.S. Securities and Exchange Commission (SEC) or applicable jurisdictional laws. Users must verify their eligibility before participating in certain aspects of our platform.

4.2 Regulatory Compliance

Users are responsible for ensuring compliance with local, national, and international financial regulations. PFP does not provide financial, legal, or tax advice. We recommend consulting a qualified professional before making any investment decisions.

5. ACCOUNT REGISTRATION & SECURITY

5.1 Account Creation

Users may be required to create an account and provide accurate, up-to-date information. Failure to maintain accurate information may result in account suspension or termination.

5.2 Security & Access

Users are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. PFP is not liable for any unauthorized access to accounts due to user negligence.

6. TOKEN STAKING & REWARDS

6.1 How Staking Works

Users may stake $PURPOSE tokens to participate in revenue-sharing pools. Staking returns are based on:

  • The amount of $PURPOSE tokens staked.

  • The overall size of the revenue-sharing pool.

  • The total capital deployed for real-world lending.

6.2 Reward Distribution

Rewards are distributed based on a tiered system, with higher allocations granted to earlier participants and larger stakers. The calculation formula for staking rewards is:

Total tokens staked / Total staked in tier × Total rewards available to that tier

PFP reserves the right to adjust staking reward structures at its discretion.

6.3 No Guarantee of Returns

While PFP aims to provide sustainable returns through real-world lending, staking involves risks, and returns are not guaranteed. Users acknowledge that past performance is not indicative of future results.

7. PROHIBITED USES

Users agree not to:

  • Engage in any fraudulent, misleading, or unlawful activities.

  • Use the Services to launder money or finance illicit activities.

  • Exploit security vulnerabilities or attempt unauthorized access to our systems.

  • Engage in market manipulation, pump-and-dump schemes, or other deceptive practices.

Violation of these terms may result in immediate account suspension or legal action.

8. INTELLECTUAL PROPERTY RIGHTS

All content, trademarks, logos, and proprietary materials provided on our platform are owned by PFP or licensed to us. Users may not reproduce, distribute, or modify any part of the Services without prior written consent.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, PFP and its affiliates disclaim liability for any:

  • Loss of profits, revenue, or data.

  • Investment losses resulting from user decisions.

  • Unforeseen platform downtimes or security breaches.

Users agree that PFP is not responsible for the performance of any third-party service providers or blockchain network failures.

10. TERMINATION

We reserve the right to suspend or terminate user accounts at our discretion, especially in cases of suspected fraud, regulatory non-compliance, or violations of these Terms.

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of California, USA. Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
